CoinGecko and GeckoTerminal Self-Serve Advertising Terms of Service

These Advertising Terms (“Terms”) govern all advertisements placed on the CoinGecko and GeckoTerminal platforms. By submitting an Insertion Order (“IO”) or using our advertising services, you (“You”, “your”, “Advertiser” or “advertiser”) represent that you have read and fully agree to comply with all these Terms.

By submitting an advertising request, you are entering into a binding contract/agreement with Gecko Labs Pte. Ltd. (“our Company,” “CoinGecko,” “GeckoTerminal,” “we,” or “us”), for the display of advertisements (“Ad Placement”) on our platforms at www.coingecko.com and www.geckoterminal.com (“Sites”).

These Terms apply to both Self-Serve Ads and Managed Ads and are to be read together with our CoinGecko Advertising Policy, Website Terms of Use, CoinGecko Privacy Policy, GeckoTerminal Advertising Policy, GeckoTerminal Website Terms of Use, and GeckoTerminal Website Privacy Policy (collectively, the “Agreement”). In the event of any contradictions between any provisions, the Privacy Policy shall take precedence, followed by these Terms, our Advertising Policy, and lastly our Website Terms of Use.

If you do not agree to any provision in the Agreement, you must not submit an advertising request. In the event that you subsequently disagree with any of the terms of the Agreement after your submitting an advertising request to us, you must immediately notify us at [email protected]. If your advertisement has already been published, we may remove it at our discretion without any prior notice or liability to you, and we reserve the right to retain any related data as outlined in our Privacy Policy. No refunds will be provided as it is your duty to fully familiarize yourself with all the terms of the Agreement before submitting an advertising request to us.

By submitting an advertisement (“ad” or “advertisement”), you grant CoinGecko and its related companies a non-exclusive, royalty-free, and non-transferable license to display your ads across its Sites.

CoinGecko does not guarantee specific impressions, clicks, or conversions.

• Advertisers can create and manage ads independently via the Self-Serve Platform.
• Ads may be automatically approved based on predetermined criteria or may require manual review. All reviews and criteria are determined in CoinGecko’s sole discretion.
• Advertisers must comply with all advertising guidelines and content policies.
• CoinGecko reserves the right (in its sole discretion) to modify, reject, suspend, or remove any ad that violates these Terms.

• Advertisers work directly with CoinGecko’s internal team to arrange ad placements.
• Campaigns will be in accordance with the details set forth via an Insertion Order (IO), as well as all terms hereunder the Agreement.
• Ads must adhere to CoinGecko’s review and compliance processes before going live.
• CoinGecko reserves (in its sole discretion) the right to approve, reject, or modify campaigns based on internal policies.

• Advertising fees must be paid within the agreed timeline in the Insertion Order (IO) for Managed Ads or the Self-Serve Platform for Self-Serve Ads.
• CoinGecko reserves the right to adjust (at any time from time to time) any pricing, commissions, and payment structures upon notice.
• Late payments may result in ad suspension or campaign termination without any prior notice, liability or refund (of any kind) to the advertiser.

• Unused credits can be used for future campaigns.
• Refunds to the original payment method are granted only in limited cases, such as account closure, and are subject to approval in CoinGecko’s sole discretion.

• Payments are non-refundable, except when CoinGecko rejects (in its sole discretion) an ad or advertiser before ad placement, in which case a full refund will be issued.

CoinGecko actively monitors traffic quality and enforce strict anti-fraud measures. If fraudulent activity (or any other activity in breach of any laws, regulations or sanctions, or any provisions of the Agreement) is suspected, CoinGecko may suspend ads, request additional verification, or terminate campaigns. Nonetheless, the foregoing does not howsoever waive, limit or reduce an advertiser’s responsibility or liability for ensuring that its ad(s) are not misrepresentative, fraudulent, misleading, infringing of a third party’s rights (including without limitation intellectual property rights) or howsoever in breach of any applicable laws or regulations or sanctions or any provisions of the Agreement, and in the event of any of the foregoing, advertiser undertakes to fully defend, hold harmless and indemnify CoinGecko (and all its related companies and officers) for all claims, losses, damages, costs and expenses (including without limitation legal fees on a solicitor-client basis) howsoever arising due to any of the foregoing.

Prohibited activities include (but are not limited to):

• Bot-generated traffic, click farms, or automated engagement.
• Data manipulation, inflated impressions, or false conversions.
• Misleading ad placements or misrepresentation of ad intent.
• Placing ads on parked domains, error pages, or illegal content sites.

If CoinGecko identifies a fraudulent activity, the Advertiser must take corrective action immediately, including:

• Blacklisting fraudulent traffic sources.
• Removing misleading or deceptive ads.
• Providing verification of ad compliance upon request.

Failure to comply may result in ad suspension and advertiser blacklisting, without prejudice to any other remedies available to CoinGecko at law, in contract, tort or equity.

CoinGecko may suspend or terminate any ad campaign or placement without liability or prior notice if:

• Advertiser fails to meet compliance standards, any applicable law, regulation, or sanction.
• There is reasonable suspicion of fraudulent or deceptive activity (nonetheless CoinGecko shall not be liable to provide any evidence thereto).
• Advertisers who breach any provision of the Agreement.

The Advertiser represents and warrants that it is not:

• Subject to any sanctions imposed by any government, regulatory body, or international authority, including but not limited to the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Nations, and the Monetary Authority of Singapore.
• Ordinarily resident, domiciled, or conducting business in any country listed on CoinGecko's Excluded Countries list (the “Excluded Countries”).
• Engaging in any business activities that violate applicable sanctions or financial regulations.
• The Advertiser must immediately notify CoinGecko in writing if it becomes subject to any sanctions or if its country of residence is added to the Excluded Countries list.

Consequences of Breach:

• CoinGecko reserves the right to immediately terminate this Agreement upon written notice if the advertiser breaches the above representation, without prejudice to any other remedies available to CoinGecko at law, in contract, tort or equity.
• No refunds or liability shall arise from such termination.
• CoinGecko reserves the right to amend the Excluded Countries list at its sole discretion without prior notice. The Advertiser agrees that it is its responsibility to regularly review the Excluded Countries list before placing advertisements.
• If an Advertiser’s country of domicile is added to the Excluded Countries list after purchasing advertising services, Advertiser must promptly notify CoinGecko and CoinGecko may, at its sole discretion, determine whether a pro-rated refund is applicable. In the event that CoinGecko discovers that the Advertiser’s country of domicile has been added to the Excluded Countries list before the Advertiser notifies CoinGecko, no refund of any kind will be provided by CoinGecko to the Advertiser.

The Advertiser further represents and warrants that it has obtained, and shall maintain at all times during the term of this Agreement, all necessary licenses, permits, consents and approvals from the relevant regulatory and governmental authorities to lawfully operate its business and to promote its products and services as represented to the Publisher and as reflected in the Advertiser’s Materials. The Advertiser shall indemnify, defend and hold harmless the Publisher and its affiliates, officers and employees from and against any and all claims, penalties, fines, liabilities, losses, damages and expenses (including reasonable legal fees on a solicitor-client basis) arising from or in connection with:

• the Advertiser’s failure to obtain or maintain such licenses or approvals;
• any misrepresentation in the Advertiser’s Materials; or
• any regulatory or legal action taken against the Publisher as a result of the publication of the Advertiser’s Materials.

All services, products, Sites and platforms are provided “AS IS” without any warranties of any kind. Accordingly, CoinGecko does not guarantee advertising outcomes of any kind and disclaims any warranties, express or implied with regards to its advertising services, its Sites, its platforms and any other matters howsoever related to this Agreement, including without limitation, any warranties of revenue generation, traffic, publicity, opportunities, accuracy, non-interruptions in accessibility, clarity, updatedness, correctness, correction of error, merchantability, or fitness for purpose (even if advised in advance of such purpose.

Under no circumstances shall CoinGecko or any of its related companies be howsoever liable to any advertisers (including without limitation, you) or other third parties or persons for any indirect damages, consequential losses of punitive damages, including without limitation loss of profits, loss of revenue, loss of customers, loss of contracts, loss of time, loss of data, damage to equipment, loss of equipment, loss of reputation or goodwill. CoinGecko’s and its related companies’ total maximum liability under any IO and the Agreement is limited to the total fees paid by the Advertiser for that IO.

Advertiser agrees to fully defend, indemnify and hold CoinGecko (and all its related companies and officers) harmless from any claims, losses, expenses, costs (including without limitation legal fees on a solicitor-client basis) damages, or liabilities arising out of:

• The content of the ads.
• Any breach of the terms of the Agreement.
• Any claims related to third-party rights violations.

Advertiser undertakes to keep strictly confidential all communications and information (of any kind in any mode, form, media or channel) shared or howsoever made available by CoinGecko (or any of its related companies) to Advertiser, and shall not howsoever use, disclose, share, publicize or circulate any such information of CoinGecko without CoinGecko’s prior written consent (to be determined by CoinGecko in its sole discretion), except that the Advertiser may disclose CoinGecko’s information to its employees on a need to know basis for the purpose of Advertiser’s performance of the Agreement subject to the Advertiser being fully responsible for any breach of confidentiality by its employees.

The Advertiser undertakes to not provide any personal data to CoinGecko or any of its related companies unless necessary for the performance of the Agreement, in which case Advertiser warrants that it has procured the necessary consent of the personal data owner for such provision to CoinGecko beforehand.

The Advertiser further undertakes not to include any personal data in its ads and to comply with all personal data and privacy laws applicable to it in its advertising campaign via the Site.

The Advertiser agrees that this Clause 7 shall survive the termination or expiration of this Agreement in perpetuity.

These Terms are governed by the laws of Singapore, excluding the application of any conflict-of-law principles.

Any disputes shall be resolved by binding arbitration under the Singapore International Arbitration Centre (SIAC), conducted by one arbitrator to be appointed by the president of the SIAC, in the English language in Singapore, and in accordance with the rules of the SIAC then in force.

Notwithstanding the dispute resolution by SIAC above, without limitation to any other remedies available to CoinGecko at contract, in tort, law or equity, CoinGecko (and its related companies) retain the right to seek (at any court of competent jurisdiction) ex parte injunctive relief for any intellectual property violations, confidentiality breach or fraudulent activity, without the need to provide any security (unless ordered by a court of competent jurisdiction) or prove actual damages suffered.
